Website Terms and Conditions

These terms and conditions (the “Terms and Conditions”) govern the use of www.essexchambers.co.uk (the “Site”). This Site is owned and operated by Essex Chambers of Commerce and Industry (the “Company”).

 

By using this Site, you indicate that you have read and understand these Terms and Conditions and agree to abide by them at all times.

 

  1. Intellectual Property

1.1 All content published and made available on our Site is the property of Essex Chambers of Commerce and Industry, the Site’s creators and its licensors. This includes, but is not limited to images, text, logos, documents, downloadable files and anything that contributes to the composition of our Site.

 

1.2 You are permitted to print and download extracts from the Website for your own use on the following basis:

(a) no documents or related graphics on the Website are modified in any way;

(b) no graphics on the Website are used separately from the corresponding text; and

(c) the Company’s copyright and trade mark notices and this permission notice appear in all copies.

 

1.3 If you breach any of the terms in this legal notice, your permission to use the Website automatically terminates and you must immediately destroy any downloaded or printed extracts from the Website.

 

1.4 Subject to clause 1.2, no part of the Website may be reproduced or stored in any other website or included in any public or private electronic retrieval system or service without the Company’s prior written permission.

 

1.5 Any rights not expressly granted in these terms are reserved.

2.1 As a user of our Site, you agree to use our Site legally, not to use our Site for illegal purposes, and not to:

2.2 If we believe you are using our Site illegally or in a manner that violates these Terms and Conditions, we reserve the right to limit, suspend or terminate your access to our Site. We also reserve the right to take any legal steps necessary to prevent you from accessing our Site.

3.1 Our Site may offer goods and services from third parties. We cannot guarantee the quality or accuracy of goods and services made available by third parties on our Site.

We are not responsible for the content, policies, or practices of any third party website or service linked to on our Site. The Company does not endorse or make any representations about them, or any material found there, or any results that may be obtained from using them. 4.2 You may create links to the Website provided you have first obtained written permission from the Company, do not replicate the home page of the Website, and subject to the following conditions:

(a) you do not remove, distort or otherwise alter the size or appearance of the Essex Chambers of Commerce & Industry Limited logo;

(b) you do not create a frame or any other browser or border environment around the Website;

(c) you do not in any way imply that the Company is endorsing any products or services other than its own;

(d) you do not misrepresent your relationship with the Company nor present any other false information about the Company;

(e) you do not otherwise use any Essex Chambers of Commerce & Industry Limited trademarks displayed on the Website without express written permission from the Company;

(f) you do not link from a website that is not owned by you; and

(g) your website does not contain content that is distasteful, offensive or controversial, infringes any intellectual property rights or other rights of any other person or otherwise does not comply with all applicable laws and regulations.

 

4.3 The Company expressly reserves the right to revoke the right granted in clause 4.2 for breach of these terms and to take any action it deems appropriate.

 

4.4 You shall fully indemnify the Company for any loss or damage suffered by the Company or any of its group companies for breach of clause 4.2.

 

  1. Registration to the Members Area

5.1 Each registration is for a single user only. The Company does not permit you to share your user name and password with any other person nor with multiple users on a network.

 

5.2 Responsibility for the security of any passwords issued rests with you.

 

  1. Service access

6.1 While the Company endeavours to ensure that the Website is normally available 24 hours a day, the Company shall not be liable if for any reason the Website is unavailable at any time or for any period.

 

6.2 Access to the Website may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons beyond the Company’s control.

 

  1. Disclaimer

7.1 While the Company endeavours to ensure that the information on the Website is correct, the Company does not warrant the accuracy and completeness of the material on the Website. The Company may make changes to the material on the Website, or to the products and prices described in it, at any time without notice. 9.1 Except where prohibited by law, by using this Site you indemnify and hold harmless Essex Chambers of Commerce and Industry and our directors, officers, agents, employees, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities and expenses including legal fees arising out of your use of our Site or your violation of these Terms and Conditions.

 

  1. Applicable Law

10.1 These Terms and Conditions are governed by the laws of the Country of England.

 

  1. Severability

11.1 If at any time any of the provisions set forth in these Terms and Conditions are found to be inconsistent or invalid under applicable laws, those provisions will be deemed void and will be removed from these Terms and Conditions. All other provisions will not be affected by the removal and the rest of these Terms and Conditions will still be considered valid.

 

  1. Changes

12.1 These Terms and Conditions may be amended from time to time in order to maintain compliance with the law and to reflect any changes to the way we operate our Site and the way we expect users to behave on our Site. We will notify users by email of changes to these Terms and Conditions or post a notice on our Site.

Membership Terms and Conditions

 

Purpose of these conditions

These are intended to set out some of the key issues that might affect the Chambers’ relationship with an individual member and their staff.

These conditions are not exhaustive and do not preclude the Chambers from doing or not doing anything to which it is entitled under its Articles of Association or by any rule of law or statute or otherwise.

 

1. Definitions

Member – means a member of Essex Chambers of Commerce and may be any natural person, corporate or unincorporated body (whether or not having separate legal personality) including sole traders, partnerships, limited liabilities partnerships, private limited companies, public limited companies, charities, public sector organisations, and unincorporated organisations such as clubs and associations that is listed within the Chambers’ Register of Members – for the time being.

Chambers – means the Essex Chambers of Commerce and Industry Limited and where the context so requires or permits including its elected Officers and Chief Executive.

Conditions – means the Conditions of Membership in force at any particular time as agreed by the Chambers’ Board.

 

2. Membership

2.1 The membership is open to any natural person, corporate or unincorporated body (whether or not having separate legal personality) including sole traders, partnerships, limited liabilities partnerships, private limited companies, public limited companies, charities, public sector organisations, and unincorporated organisations such as clubs and associations regardless of their location.

 

2.1.1 Chambers’ membership is open to companies or other organisations and separate business divisions but not to departments within organisations.

 

2.2 It is a condition of Chambers Membership that Members have been trading for at least 18 months, unless the Chambers’ Board otherwise agrees.

 

2.3 Membership is subject to Chambers’ Board approval and the Chambers reserves a right to refuse membership without disclosing any reason.

 

2.3.1 The Board may also in accordance with its Articles of Association resolve to expel any Member at any time where the Board’s view is that membership is not in the best interest of the Chambers.

 

2.4 Membership is a business entitlement rather than a personal one. All officers, employees and other members of staff of the Member are therefore entitled to all of the Chambers’ benefits, services and goods when working on behalf of their Member employer.

 

2.5 Membership is for a minimum period of 12 months. Membership will be automatically invoiced for renewal unless notification is received before the invoice is sent out 30 days before expiry.

 

2.5.1 Membership is valid for 12 months from when the payment is received by the Chambers.

 

2.5.2 Membership fees are based on the number of employees in the Member organisation at the relevant location. It is an express term of the membership agreement that the Member will inform the Chambers about any changes in the number of employees or other vital aspects of the business.

 

2.5.3 By signing the membership form you are entering into a legal agreement to join the Chambers. You may cancel the agreement by giving the Chambers a written notice within 14 days of the date of the agreement.

 

2.5.4 The Chambers’ membership fee is non-refundable and membership is non-transferable.

 

2.6 The Chambers regularly communicates with Members by email, telephone, Teams, Zoom and the social media platforms Facebook, Instagram, Twitter and Linkedin. We aim to only approach our Members with information which we believe could be of interest to them. This is an integral part of the membership and by entering into membership you agree to be contacted by the Chambers. The regular communication can be terminated at the Members request at any time (see our Privacy Policy).

 

2.7 Members are entitled and encouraged to take advantage of the various opportunities the Chambers offers but there is never any obligation or pressure to use any of the services provided or goods supplied by the Chambers or its providers.

 

2.7.1 Any agreement between the Member and the Chambers’ providers is strictly between the two parties, and is not the responsibility of the Chambers.

 

2.7.2 Chambers’ membership benefits are subject to change without notice and are subject to terms and conditions available from the Chambers.

 

2.7.3 The Chambers shall have no liability for any losses suffered by a Member resulting from any advice given or services provided or goods supplied by a fellow Member. The Chambers shall have no responsibility for advice given or services provided or goods supplied by its third party service providers even though such providers may have been introduced to the Member by the Chambers.

 

2.8 Membership is subject to the provisions of the Articles of Association of the Chambers (available on request) and in the event of a conflict between these terms and conditions and the Articles of Association, the Articles shall prevail.

 

3. Chambers Official and Respected Member Logos

3.1 Upon membership coming to an end (for whatever reason) the ex-Member MUST destroy or irretrievably erase all stationery and other documents and materials (whether in paper, electronic or other form) displaying the Chambers’ name and/or logos which are in its possession or under its control, including the removal of all references to the Chambers’ name and/or logos from the ex-Member’s website and social media platforms.

 

4. Members’ Obligations

4.1 The Member will always act in the best interests of the Chambers.

 

4.1.2 The name, reputation and goodwill of the Chambers are vitally important to the Chambers and the Member will not do anything, nor fail to do something, that will have, or is likely to have, a negative impact on the Chambers’ name, reputation or goodwill.

 

4.1.3 The Chambers also have numerous intellectual property rights and other proprietary rights that are of vital importance to the effective running and reputation of the Chambers and the Member shall not do anything, nor fail to do something, that will have, or is likely to have, a negative impact on such rights.

 

4.2 All Members must pay their subscriptions, and any other payments, to the Chambers on or before the due date.

 

4.3 Any pre-booked events, exhibitions, training or workshops that occur AFTER the membership has been terminated will be converted to a standard booking and the additional costs must be paid.

 

4.4 Chambers will hold and use the data you have supplied for administrative and promotional purposes and it will not be supplied as a database to any third party. Business names, locations and weblink will only be made available through the Members area on our website. By joining the Chambers, you hereby consent to the use of your data for those purposes in accordance with the Data Protection Act. View our Privacy Policy for further details.

 

5. Marketing & Promotion of Other Members Events

5.1 We often receive requests from both private and public sector organisations to promote their events and our Board has taken the decision that to be fair to everyone we will only promote our own events through our website and publications unless the Chambers’ Board otherwise agrees.

 

6. Insolvency, Bankruptcy and Death

6.1 If a Member is adjudged insolvent or bankrupt, or enters into receivership or administrative receivership, or makes a composition or arrangement with their creditors under the provisions of any relevant statute or rule of law, then the Chambers may if it so desires terminate the membership of that Member with immediate effect.

 

6.2 Membership by an individual person is not transferable and such Members shall cease to be a Member on their death or if they become a patient under any mental health legislation.

 

7. Criminal offences

7.1 If an individual Member, or an employee of a Member, is charged with or convicted of a criminal offence then the Chambers may, at its discretion, suspend the membership of the individual concerned with immediate effect.

 

8. Suspension and/or termination of membership

8.1 Failure by a Member to comply with any part of the Conditions will be sufficient for the Chambers to consider terminating the membership of that Member.

 

8.1.2 Any Member who has their membership terminated for any reason whatsoever is not entitled to a refund of any part of their membership subscription to the Chambers.

 

8.2 Any sanction or remedial action under the Conditions is additional to any alternative sanction, remedial action, legal action or any other action that the Chambers may take in respect of a Member.

 

8.3 Any individual or organisation ceasing to be a Member of the Chambers shall forfeit all rights to utilise without limitation, the name, logo, goodwill, products and/or services of the Chambers in connection with their business, personal or social activities with immediate effect.

 

9. Changes to the Conditions of Membership

9.1 The Board of the Chambers may from time to time vary these conditions. The Board will provide Members with notice of any such changes and where they can be viewed.

Event Terms and Conditions

 

1. Definitions

Chambers – means the Essex Chambers of Commerce and Industry Limited and where the context so requires or permits including its elected Officers and Chief Executive.

Events – means any of our general events, exhibitions, conferences, training or workshops.

Attendee/s – means the person/s attending the Event as a representative of their company.

Member – means a member of Essex Chambers of Commerce and may be any natural person, corporate or unincorporated body (whether or not having separate legal personality) including sole traders, partnerships, limited liabilities partnerships, private limited companies, public limited companies, charities, public sector organisations, and unincorporated organisations such as clubs and associations that is listed within the Chambers’ Register of Members – for the time being.

Non-member – means any natural person, corporate or unincorporated body (whether or not having separate legal personality) including sole traders, partnerships, limited liabilities partnerships, private limited companies, public limited companies, charities, public sector organisations, and unincorporated organisations such as clubs and associations who are not official Members of Essex Chambers of Commerce.

 

2. Non-Member Attendance to Events

2.1 Non-members can only attend or exhibit at TWO of our Events (not including attending exhibitions and conferences as a free visitor).

 

2.1.1 Membership will be a requirement in order to attend or exhibit at any further Events.

 

2.1.2 If you book to attend or exhibit at more than two Events we reserve the right to reject or cancel any booking and refund any payment made.

 

2.1.3 The attendance at more than two of these Events is down to the discretion of the Chambers and reviewed on an individual basis.

 

2.2 We will be pleased to provide details of our membership packages on request or you can find details here.

 

3. Changes to your Membership status

3.1 Any pre-booked Events that occur AFTER the termination of your membership (for any reason) will be converted to a standard booking and the additional costs must be paid.

 

4. Payment

4.1 All Events must be booked and paid online and a receipted invoice will be sent out by email for payments by credit/debit card.

4.1.1 If we have agreed alternative arrangements with you in advance of the Event, you must pay in full before Attendee/s attend.

4.1.2 The Chambers has the right to refuse entry to Events to any Attendee/s who has not made payment in full.

4.1.3 All Events are subject to VAT being added.

4.1.4 Online bookings will be processed through Worldpay and the transaction will be between you and the Chambers.

 

5. Your information

5.1 Details of Attendee/s to any Chambers Events are stored by the Chambers.

5.1.1 Your information will be used to administer your attendance at the Event, process any payments due where applicable and to send you details of similar Events and information offered by the Chambers. If you are booking the attendance of someone else, you are agreeing to these conditions on their behalf.

5.1.2 You have the right to have your information corrected, restricted in use and to object to our use of your data. However please note if you object to use of your data for your attendance at the Event we may not be able to accommodate you at the Event.

5.1.3 We process your information under our legitimate interests in supporting Essex businesses.

 

5.2 Other than as described in this section or provided for in our Privacy Policy, we do not share your data with any third parties and your information is stored in the United Kingdom.

5.2.1 You can find details of how long we keep personal data online as well as more information on how we handle your details in our Privacy Policy.

 

5.3 If you attend an external third party Event promoted by the Chambers, your basic details will be shared with the third party.

 

6. Virtual Events & Security

6.1 All Chambers virtual Events will be held via either Zoom or Teams.

6.1.1 You do not need to have a Zoom or Teams account in order to access our Events.

6.1.2 If you are experiencing any issues accessing the meeting then please contact the meeting administrator.

6.1.3 If you cannot join the meeting due to your internet connection, refunds are not available.

 

6.2 For security purposes you are not permitted to share the meeting link with anyone else. If a substitute person wishes to replace an existing Attendee please inform us and they will be sent their own confirmation email with the meeting link.

 

6.3 We have taken all necessary precautions to ensure that Events/meetings held via Zoom and Teams are safe and secure. We do not accept responsibility for any breaches that may occur.

 

6.4 External third party virtual Events run by other Members or third-party suppliers may use alternative software.

 

7. Confirmation

7.1 Once payment is received an email confirmation will be sent to the Attendee/s at their email address stated at the time of the booking. This will contain either

  • The venue details, map and any other details relevant to the Event.
  • Event details including a link to access the Event via Zoom or Teams and any other details relevant to the Event.

 

8. Cancellation by you

8.1 All cancellations must be made in writing to events@essexchambers.co.uk to be eligible for a refund as per our cancellation policies stated on each Event booking form.

 

8.2 Where a refund is available, any payment made using a credit or debit card through the Worldpay system will be refunded back onto the same card.

 

9. Cancellation by us

9.1 We reserve the right to cancel any Event at any time without liability. In the unlikely event of this happening Attendees would be offered an alternative date or a full refund.

 

10. Changing Delegate Details

10.1 There is no charge if a substitute person wishes to replace an existing Attendee/s. Please inform us as soon as possible before the start of the Event.

 

10.1.1 If a dietary or special request has been made this may not be able to be changed.

 

11. Literature

11.1 Attendees cannot distribute literature en-mass at any physical Event. Attendees seen doing so will have their literature removed by the organisers.

 

11.2 Attendees are not permitted to distribute literature in virtual Events using the chat function. Anyone doing so will be asked by the meeting administrator to stop. If an Attendee persists then they will be removed from the meeting.

 

12. Delegate List

12.1. Attendee lists will not be sent out prior to the Event.

 

12.1.1 However, one may be sent out an hour prior to virtual Events and then after the event with Attendees contact information in the absence of an Attendees ability to distribute business cards.

 

12.1.2 Please contact events@essexchambers.co.uk if you wish to opt out of your information being shared this way.

 

13. Photography / Video / Recordings

13.1 Photos/videos may be taken at Events and used in social media activity & post Event publicity. Should you not want to be included in photos/videos, please make the photographer/videographer/event administrator aware on the day of the Event.

 

13.2 Please note Attendees do not have the ability to use the record function via Zoom to record our Events.

 

ESSEX CHAMBERS OF COMMERCE RESERVE THE RIGHT TO REFUSE ADMISSION TO ALL OR ANY PART OF ANY EVENT, EXHIBITION, CONFERENCE, TRAINING OR WORKSHOP.

Our providers create and supply any training materials that are used and/or circulated to attendees. The Essex Chambers of Commerce bears no responsibility or liability for any errors, omissions, inaccuracies or negligent statements contained in the training materials.

 

The content of the training materials are the copyright of the trainer. Any redistribution or reproduction of part or all of the contents is strictly prohibited.

 

Limitation of Liability

The Essex Chambers of Commerce bears no responsibility of liability between you, the training provider and/or assessors.

 

Confidentiality

The Essex Chambers of Commerce bears no responsibility of confidentiality between you, the provider and/or assessors.

Trade Expert Academy Terms and Conditions

 

Along with our standard and event Terms & Conditions and Privacy Policy please see the additional Terms for our Trade Expert Academy.

 

Delivery of Training

All Training is delivered virtually, on set dates, via Zoom by our provider. You do not need to have a Zoom account in order to access the Training.

We have taken all necessary precautions to ensure that Training held via Zoom are safe and secure. We do not accept responsibility for any breaches that may occur.

It is the responsibility of the Attendee to ensure they have adequate equipment and internet connection. Refunds are not issued for Attendee/s connectivity issues – If a speaker or host’s connectivity fails the event will be rescheduled

 

Attendee/s

Only Attendee/s fully enrolled on to the Training will receive the Training details and link to enter the virtual classroom. These links must not be shared, anyone not enrolled who tries to access the virtual classroom will not be permitted. Attendees are not permitted to share or allow additional attendees to physically join them during the Training. If this occurs, they will be removed and refunds will not be issued.

 

Training Materials

Changes to your Membership status – where applicable

Any pre-booked training courses that occur AFTER the termination of your membership (for any reason) will be converted to a standard booking and the additional costs must be paid.

To receive the full Level 4 Qualification Training package at the Membership rate, your business must be a Member of the Essex Chambers of Commerce for the period of the Training. If your membership ceases before the Level 4 Qualification is completed, a penalty may be due.

 

Funding – where applicable

The Trade Expert Training Academy funding programme is provided by the Essex Chambers of Commerce and Essex County Council.

All applications will be thoroughly checked to ensure the business meets all the qualifying criteria.

Essex Chambers of Commerce and Essex County Council reserve the right to reject applications.

Qualifying Criteria

    1. Must hold a current Essex Chambers of Commerce Membership for the period of the training.
    2. Business or staff member must be based at business premises in Essex.
    3. Not be in a state of liquidation, receivership, insolvency or bankruptcy

Funding can only be allocated for undertaking the Level 4 Award, Certificate or Diploma qualification.

Funding is limited to one member of staff per business.

You will be advised within 7 working days if your application is successful.

If your membership ceases before the Level 4 Qualification is completed, a penalty may be due.

 

Payment

Payment in full must be received before Training can commence. The Chambers has the right to refuse entry to Training to any Attendee/s who has not made payment in full.

 

Cancellation of single Modules 

All cancellations must be made in writing to int-trade@essexchambers.co.uk to be eligible for a refund as per our cancellation policies stated on each Training booking form.

Where a refund is available, any payment made using a credit or debit card through the Worldpay system will be refunded back onto the same card.

We reserve the right to cancel any Training at any time without liability. In the unlikely event of this happening Attendees would be offered an alternative date or a full refund.

 

Cancellation of Level 4 Qualification Package

You may cancel your purchase of the Training within the Cancellation Period of 14 calendar days from the date your payment is received. Please note that if you commence your Training during the Cancellation Period, you expressly request us to begin providing the course materials and you acknowledge that you lose your right to cancel the purchase of the course and get any refund for it.

In case you decide to cancel your purchase of a package, email int-trade@essexchambers.co.uk specifying your reasons for cancelation.

If you cancel the purchase of a package within 14 calendar days as mentioned above, we will refund you for all payments made as a part of your purchase within 14 calendar days from the day we accept that you are entitled to a refund.

There is no charge if a substitute person wishes to replace an existing Attendee/s prior to the Training commencing. Please inform us as soon as possible. A substitute cannot be made once the Training has commenced.

Refunds are not issued for Attendee/s connectivity issues – If a speaker or host’s connectivity fails the event will be rescheduled

We reserve the right to cancel any training course at any time without liability. In the unlikely event of this happening Attendee/s would be offered an alternative date.

 

Your information

Details of Attendee/s to any Chambers Training are stored by the Chambers.

Your information will be used to administer your attendance at the Training, process any payments due where applicable and to send you details of similar Events and information offered by the Chambers. If you are booking the attendance of someone else, you are agreeing to these conditions on their behalf.

You have the right to have your information corrected, restricted in use and to object to our use of your data. However please note if you object to use of your data for your attendance at the Training we may not be able to accommodate you at the Training.

Your details will be shared with our external providers and assessors, Export Unlocked and The Real Consultancy Company. If an application for funding is made, your details will be shared with Essex County Council.

Trade Expert Match Funding Terms and Conditions

The Trade Expert Match Funding programme is provided by the Essex Chambers of Commerce and Essex County Council.

All applications will be thoroughly checked to ensure the business meets all the qualifying criteria.

Essex Chambers of Commerce and Essex County Council reserve the right to reject applications.

Qualifying Criteria

• Must hold a current Essex Chambers of Commerce Membership for the period of the training.
• Business or staff member must be based at business premises in Essex.
• Not be in a state of liquidation, receivership, insolvency or bankruptcy

Funding can be allocated to all of the individual Academy Modules and from the selection of our Trade Expert British Chambers of Commerce Accredited Training courses listed below.

• Export Procedures & Documentation
• Import Procedures & Documentation
• Customs Procedures & Documentation
• Incoterms® 2020
• Understanding Rules of Origin
• Inward & Outward Processing
• Understanding Commodity Codes
• Letters of Credit

Funding is limited to two course places per business.

You will be advised within 7 working days if your application is successful.

Payment
Payment in full must be received before Training can commence. The Chambers has the right to refuse entry to Training to any Attendee/s who has not made payment in full.
